Glossary of Terms

  • HUD Manager: Praxis HUD Manager platform, including website, API, and desktop client.
  • HUD: A digital overlay asset or package available in the platform.
  • Marketplace: The area where HUDs can be bought, rented, or claimed.
  • Purchase: A paid transaction granting access to a HUD or to a plan according to the listing terms.
  • Rental: A paid, time-limited access model that grants a license to use a HUD only during the active rental/subscription period.
  • Claim: A no-cost acquisition of a HUD that is marked as free.
  • Public Profile Data: Player picture, nickname, name, and related profile fields uploaded for public profile features.

1. The Service and Scope

Praxis HUD Manager (referenced as "HUD Manager", "we", "our") is a platform that allows users to manage esports HUD data, including player profiles, team information, match data and use those through overlays in their productions. These Terms of Service govern your use of the online platform available at https://betapraxis.sirnugg3ts.tech , respective API and desktop client. The service is offered internationally. By using the service and associated API and desktop client, you agree to these Terms. If you do not agree, do not use the service.

2. Use of the Service

You may use the service only in compliance with applicable laws and these terms. You are responsible for your account activity, keeping your credentials secure, and ensuring any submitted content does not violate third-party rights.

3. Purchases, Subscription Plans, and Billing

Products and services on the platform may be offered as one-time purchases or subscription plans. A subscription plan is a recurring paid plan that grants access to the subscribed features or content for each billing period while the subscription remains active. Paid subscriptions renew automatically until cancelled and each subscription period lasts one month. If a user cancels a subscription, access remains available until the end of the already-paid monthly period and then ends. Payments are handled through Polar.sh, which acts as the Merchant of Record for checkout and invoicing. VAT is applied according to the user's payment and billing data, as required by applicable tax rules. Users are solely responsible for providing accurate, complete, and up-to-date billing and tax information. If subscription prices change, Polar.sh and Praxis HUD Manager will provide notice before the new price takes effect.

4. Marketplace Content, Purchases, Rentals, and Claims

Marketplace HUD listings may be offered as paid purchases, rentals, or free claims. Rented HUDs are provided under a limited, non-exclusive, non-transferable license to use the rented HUD only during the active subscription or rental period. Claimed HUDs are provided at no cost where marked as free. Marketplace content is provided by users and/or creators; Praxis HUD Manager may review or remove content that violates these terms, but does not guarantee the accuracy, availability, or legality of third-party content.

5. HUD Types and File Access Rules

Private HUDs are your own HUDs. Their files may be stored in cloud infrastructure, but only the owner may access them, and they are not shared with other users. For rented HUDs, you only receive access to use the overlay through HUD Manager and have no right to access, copy, or extract the underlying HUD files or package. For bought or claimed HUDs, you are allowed to access and extract the HUD package.

6. Refunds and EU Withdrawal Rights

Purchases and rentals on the platform are digital services and/or digital content. Once delivery or access starts, you expressly request immediate performance and waive any applicable refund and 14-day withdrawal right under EU consumer law for digital content not supplied on a tangible medium, to the extent permitted by law.

7. Public Profile Content and Removal Requests

When players use the public profile functionality and upload their profile picture, nickname, and name, they grant Praxis HUD Manager permission to display and distribute that information to users of the app as part of profile and related HUD features. Public profile data may also be displayed by app users on HUD overlays for personal or commercial use. Players may request removal of their uploaded public profile data from the platform through the official support channels, and we will process valid requests in accordance with applicable law. The same data is solely given to use through the HUD Manager platforms, and therefor no user is allowed to access, copy, extract or use that data outside of the HUD Manager platforms.

8. User-Entered Data Responsibility

Private team data and private player data entered, uploaded, or managed by a user is that user's responsibility. Praxis HUD Manager is not in any way responsible for the private data of a user.

9. Prohibited Conduct

You must not misuse the service, including by attempting unauthorized access, distributing malicious code, violating intellectual property rights, or using the service to engage in unlawful activity. You must not reverse engineer, decompile, or attempt to derive source code from the desktop application or API, and you must not perform unauthorized extraction, scraping, or copying of platform files or data. Violations may result in suspension or permanent ban from the platform. If your account is banned for these violations, you are not entitled to refunds for any purchases previously made.

10. Service Availability

The service may change, be interrupted, or be discontinued at any time. We are not liable for temporary outages, feature changes, or data loss to the extent permitted by law.

11. Disclaimer and Limitation of Liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Praxis HUD Manager is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service. This includes, without limitation, compatibility issues, changes caused by game updates, user misuse, or bans/sanctions resulting from the improper use of third-party software or services, including but not limited to HLAE. We take reasonable measures to help keep platform data secure; however, if our systems are compromised by a malicious attack, we are not responsible for consequences resulting from that attack, to the extent permitted by law.

12. Governing Law and Jurisdiction

These Terms are governed by applicable European Union law and the Portuguese law. Any dispute arising out of or related to these Terms or the service shall be subject to the competent courts of Portugal, without prejudice to mandatory consumer rights under applicable law.

13. Changes to These Terms

We may update these terms at any point in time. Updated terms will be posted on this page with a revised effective date. Continued use of the service after changes means you accept the updated terms.

14. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect (severability). These Terms constitute the entire agreement between you and Praxis HUD Manager regarding the service and supersede prior agreements on the same subject. Failure by either party to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign these Terms in connection with a merger, reorganization, or sale of assets. We are not liable for delay or failure to perform caused by events beyond our reasonable control (force majeure). In case of translation differences, the English version of these Terms prevails unless mandatory law requires otherwise.
